1. Introduction

Welcome to this website (this "Site"), which is owned and operated by Coder4Nix, a subsidiary of VIRTUAL NETWORKS LTD, Covent Garden, London, WC2H 9JQ UK, United Kingdom (hereinafter referred to as "Company", "we", "us", or "our").

These Terms of Service ("Terms") govern your access to and use of the Site, any software products, services, and subscriptions (collectively, the "Services") offered through the Site. By accessing the Site or purchasing any Service, you ("Customer", "you", or "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site or any of our Services.

We reserve the right to update or modify these Terms at any time. Changes become effective upon posting to this page. Your continued use of the Services after any modifications constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

2. Definitions

  • "Software" refers to any software product offered by Coder4Nix, including but not limited to the AzuraCast WHMCS Module and any associated add-ons, plugins, extensions, or updates.
  • "Subscription" refers to a recurring licence to access and use the Software for a defined billing period (monthly or annually).
  • "Licence Key" refers to the unique identifier issued to you upon purchase that activates the Software for use on a single authorised installation.
  • "Professional Services" refers to custom software development, Linux system administration, cloud solutions, consulting, and any other service engagements provided by the Company.
  • "Account" refers to your registered user account on the Site, through which you manage your Subscriptions, access downloads, submit support tickets, and view invoices.
  • "Authorised Installation" refers to a single production instance of WHMCS (or other supported platform) on which you are permitted to use the Software under your Licence Key.

3. Account Registration

To purchase and use our Services, you must create an Account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security of your Account credentials and not share them with any third party.
  • Accept responsibility for all activities that occur under your Account.
  • Notify us immediately of any unauthorised use of your Account.

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an Account and use the Services. By creating an Account, you represent and warrant that you meet this requirement.

We reserve the right to suspend or terminate any Account that provides false information or violates these Terms.

4. Services and Software Licence

4.1 Software Licence Grant

Subject to your compliance with these Terms and payment of all applicable fees, the Company grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the Software on a single Authorised Installation for the duration of your active Subscription.

4.2 Licence Restrictions

You shall not:

  • Copy, redistribute, sublicence, sell, lease, rent, or otherwise transfer the Software or your Licence Key to any third party.
  • Reverse-engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code of the Software, in whole or in part.
  • Modify, adapt, translate, or create derivative works based on the Software.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on or within the Software.
  • Use the Software on more than one Authorised Installation per Licence Key, unless explicitly agreed in writing.
  • Share, publish, or disclose your Licence Key to any third party.
  • Circumvent, disable, or interfere with any licence enforcement, authentication, or security mechanisms within the Software.
  • Use the Software for any unlawful purpose or in violation of any applicable laws or regulations.
4.3 IonCube-Encoded Files

The Software may include files encoded with IonCube or similar technologies. These encoded files are protected intellectual property. Any attempt to decode, decrypt, or reverse-engineer encoded files constitutes a material breach of these Terms and may result in immediate termination of your licence without refund.

4.4 Professional Services

Professional Services (custom development, system administration, consulting, etc.) are provided on a project basis or under separate agreements. Scope, deliverables, timelines, and fees for Professional Services will be defined in a separate Statement of Work ("SOW") or proposal agreed upon by both parties prior to commencement. These Terms apply to all Professional Services unless expressly overridden by a separate SOW.

4.5 Updates and New Versions

During an active Subscription, you are entitled to receive Software updates, patches, and new versions as they are released. Upon expiration or termination of your Subscription, you lose the right to receive further updates but may continue to use the last installed version, subject to the ongoing restrictions in Section 4.2.

5. Pricing, Payment, and Billing

5.1 Pricing

All prices are listed in Euros (EUR) and are exclusive of any applicable taxes, duties, or levies, which are your sole responsibility. The Company reserves the right to change pricing at any time. Price changes take effect at the start of the next billing cycle and do not apply retroactively to active billing periods.

5.2 Payment

Payment is due at the time of purchase and at each renewal date. We accept payment methods as displayed on the Site at the time of checkout. You are responsible for keeping your payment information up to date.

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date. A renewal invoice will be generated and payment will be attempted using your registered payment method. You will receive an invoice notification prior to the renewal date.

5.4 Late Payment

If payment fails or is not received within the grace period specified on the invoice, we reserve the right to suspend your access to the Software and Services, including licence validation and support. Continued non-payment may result in termination of your Subscription and Account.

5.5 Taxes

You are solely responsible for determining and paying any taxes applicable to your purchase, including VAT, GST, sales tax, or withholding tax. If we are required by law to collect taxes, the applicable amount will be added to your invoice.

6. Refund Policy

Due to the digital nature of our products:

  • Software Subscriptions: We offer a 14-day refund period from the date of your initial purchase. Refund requests must be submitted via a support ticket. Refunds are not available for renewal payments, only for first-time purchases.
  • Professional Services: Fees for Professional Services that have already been rendered are non-refundable. For projects not yet started, a full refund will be issued upon request.

Refunds, where applicable, will be processed using the original payment method within 14 business days. The Company reserves the right to deny a refund request if there is evidence of abuse, fraudulent activity, or violation of these Terms.

7. Subscription Term and Cancellation

7.1 Subscription Term

Subscriptions begin on the date of purchase and continue for the selected billing period (monthly or annually). Each Subscription automatically renews as described in Section 5.3.

7.2 Cancellation by Customer

You may cancel your Subscription at any time through your Account or by submitting a support ticket. Cancellation takes effect at the end of the current billing period. You will retain access to the Software and Services until the end of the paid period. No partial refunds are issued for unused time within a billing period.

7.3 Termination by Company

We may suspend or terminate your Subscription and/or Account immediately, without prior notice, if:

  • You breach any provision of these Terms.
  • You engage in fraudulent, abusive, or illegal activity.
  • You attempt to circumvent licence enforcement mechanisms.
  • You fail to pay any amounts due under your Subscription.
  • Continued provision of the Services to you would be unlawful.
7.4 Effect of Termination

Upon termination or expiration of your Subscription: (a) your Licence Key will be deactivated; (b) you must cease all use of the Software; (c) you must delete all copies of the Software in your possession; (d) you lose access to support and updates. Sections that by their nature should survive termination (including Sections 4.2, 8, 9, 10, 11, 12, and 14) will survive.

8. Intellectual Property

All intellectual property rights in and to the Software, Site, documentation, trademarks, logos, and any related materials are and shall remain the exclusive property of the Company and/or its licensors. Nothing in these Terms grants you any ownership rights in the Software or any Company intellectual property.

The Company name "Coder4Nix", the VIRTUAL NETWORKS LTD name, and all associated logos and marks are trademarks of the Company. You may not use these marks without prior written consent.

Any feedback, suggestions, or ideas you provide regarding the Software or Services may be used by the Company without restriction or obligation to you.

9. Support

9.1 Scope of Support

Active Subscribers are entitled to technical support for the Software via our ticket system. Support covers:

  • Installation and configuration assistance.
  • Bug reports and troubleshooting.
  • General usage questions.
9.2 Exclusions

Support does not cover:

  • Third-party software, hosting environments, or server configurations not directly related to the Software.
  • Custom modifications or derivative works made by you or third parties.
  • Issues arising from use of the Software on unsupported platforms or versions.
  • General programming, server administration, or consulting beyond the scope of the Software.
9.3 Response Times

We aim to respond to support tickets within 24–48 hours during business days. Support is provided in English and German. We do not guarantee specific response times and support availability may vary.

10. Availability and Uptime

We strive to maintain high availability of the Site and any associated licensing or authentication services. However, we do not guarantee uninterrupted or error-free access. The Site and Services may be temporarily unavailable due to:

  • Scheduled maintenance (we will endeavour to provide advance notice).
  • Unscheduled maintenance or emergency repairs.
  • Events beyond our reasonable control (see Section 13).

The Software operates on your own servers and infrastructure. We are not responsible for the availability, performance, or security of your hosting environment.

11. Warranty Disclaimer

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SOFTWARE WILL MEET YOUR SPECIFIC REQUIREMENTS. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SOFTWARE AND SERVICES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE OR SERVICES, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.
  • THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO THE COMPANY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
  • THE COMPANY SHALL NOT BE LIABLE FOR ANY DAMAGE OR LOSS RESULTING FROM YOUR FAILURE TO MAINTAIN ADEQUATE BACKUPS OF YOUR DATA OR CONFIGURATIONS.

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited by applicable law.

13. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of war or terrorism, epidemics, pandemics, government actions or regulations, power outages, internet or telecommunications failures, cyberattacks, or third-party service provider outages.

14. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Software or Services in violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Any claim by a third party resulting from your use of the Software or Services.
  • Your breach of any representation or warranty made under these Terms.

15. Data Protection and Privacy

We are committed to protecting your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

In connection with the Services, we collect and process the following categories of personal data:

  • Account Data: Name, email address, postal address, phone number, and company information provided during registration.
  • Billing Data: Payment method details as required to process transactions (processed securely by third-party payment providers).
  • Technical Data: IP address, browser type, licence validation requests, and server information transmitted during Software authentication.
  • Support Data: Communications, ticket content, and attachments submitted through the support system.

Your data is used solely for the purposes of providing and improving the Services, processing payments, licence management, and communicating with you. We do not sell your personal data to third parties. For full details on how we handle your data, please refer to our Privacy Policy (if published separately on the Site).

You have the right to access, rectify, erase, restrict processing of, and port your personal data. To exercise these rights, please contact us via the Site.

16. Acceptable Use

You agree not to use the Site or Services to:

  • Violate any applicable local, national, or international law or regulation.
  • Infringe upon the intellectual property rights of any third party.
  • Transmit any malicious code, viruses, or other harmful technology.
  • Attempt to gain unauthorised access to the Site, other Accounts, or any systems or networks connected to the Site.
  • Engage in any activity that disrupts, damages, or impairs the functioning of the Site or Services.
  • Use the Software in a manner that could bring the Company into disrepute.
  • Resell, redistribute, or commercially exploit the Services without explicit written permission.

17. Third-Party Services

The Software may integrate with or require third-party software platforms (e.g., WHMCS, AzuraCast). The Company is not responsible for the availability, functionality, security, or terms of use of any third-party services. Your use of third-party services is subject to their respective terms and conditions.

The Site may contain links to third-party websites. We do not endorse or assume responsibility for the content or practices of linked websites.

18. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party in connection with these Terms or the Services, including but not limited to business information, technical data, pricing, and Licence Keys. This obligation does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law.

19. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer based in the European Union, you may also be entitled to invoke the mandatory consumer protection laws of your country of residence, and you may bring proceedings in the courts of your country of residence.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with any applicable SOW, order form, or supplemental agreement, constitute the entire agreement between you and the Company with respect to the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

22. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of the Company. The Company may assign its rights and obligations under these Terms without restriction.

23. Waiver

No failure or delay by the Company in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. A single or partial exercise of any right, power, or remedy does not preclude any other or further exercise of that or any other right, power, or remedy.
